Pixim License Agreement: Pixim Nightwolf

Pixim Nightwolf License Agreement

Subject to the terms and conditions of this Agreement, Pixim hereby grants Company permission to use the "Powered by Pixim Nightwolf" logo, the "Nightwolf IR" icon, the "Nightwolf" name, and/or any other material related to Pixim Nightwolf technology ("Licensed Material").

Company agrees that the Licensed Material is the trademarked property of Pixim, acquires no rights to the Licensed Material by using it, agrees that all use of the Licensed Material shall inure to the benefit of Pixim and shall be in accordance with the terms of this Agreement.

Additionally, Company agrees that any product using the License Material must:

  1. Ship with firmware version 7.4 or later.
  2. Be IR assisted using either integrated or external IR illuminators.
  3. Have an ambient light sensor with digital output connected to the camera module.
  4. Include an IR corrected lens if shipped with a lens installed.
  5. Be true day/night with ICR if shipped without a lens installed.
  6. Use Pixim Nightwolf default software presets at night.
  7. Use exact copies of the License Material with no visible alterations.
  8. Use the Nightwolf positioning language as provided below.
  9. Not refer to "Seawolf" in any way.
  10. Not adopt any modified mark that is likely to be confused with the Licensed Material.
  11. Meet high standards of product quality fitting for use with Pixim technology.

In addition, Company acknowledges that Pixim is the sole and exclusive owner of all rights, title and interest in and to the Licensed Material and reserves the right to review and inspect all advertising, collateral, products, web assets, and other uses bearing the Licensed Material for compliance with Pixim's trademark guidelines. Company promises to correct any deficiencies in the use of the Licensed Material upon reasonable request and notice from Pixim. 

The relationship between Pixim and Company shall be as licensor and licensee only. Nothing in this Agreement shall be construed to constitute a joint venture, partnership or other relationship between the parties.

Nightwolf Positioning Language:

The following positioning statements must be used in collateral describing Company's products using Pixim's Nightwolf technology:

  1. “Nightwolf” “Nightwolf is a trademark of Pixim, Inc.”
  2. “Optimized imaging solution for IR assisted cameras”
  3. “Eliminates hot spots while preserving background detail”
  4. “Captures foreground and background simultaneously”
  5. “Best images night and day”
  6. “Same high quality daytime color imaging as Seawolf”
  7. “690 HTVL effective”
  8. “120dB max dynamic range” - but avoid prominent use of “WDR” or “Wide Dynamic Range”

Nightwolf, the Powered by Pixim Nightwolf logo, and the Nightwolf IR icon are trademarks of Pixim, Inc., used under license.
